Effective date: 29 October 2026
The e-ISIN platform (the "Platform") is owned and operated by:
e-ISIN Ltd, a company incorporated in England and Wales under company number 17503394, whose registered office is at Office 21668, 182-184 High Street North, East Ham, London, E6 2JA, United Kingdom
("e-ISIN" or the "Operator").
These Terms of Use (the "Terms") govern access to the Platform, including its web and mobile applications, and the use of its services and features. By using the Platform, the user confirms that they have read and agree to these Terms.
In these Terms:
e-ISIN is a technology, information and communication platform.
The Platform enables, in particular:
e-ISIN provides technology infrastructure for making information available and for direct communication between a Capital Recipient and a Prospective Investor.
e-ISIN is not a party to any subsequent transaction between those persons.
e-ISIN is not an exchange, a multilateral trading facility (MTF), an organised trading facility (OTF), a settlement system or a system for the conclusion of transactions in financial instruments.
The Platform cannot be used to:
Where a Capital Recipient and a Prospective Investor continue discussions after making contact, they communicate and deal directly with each other.
Any subsequent transaction takes place outside the Platform and is entered into directly between its parties on the basis of the relevant contractual and other documentation. e-ISIN is not a party to any such transaction.
Through the Platform, e-ISIN does not:
e-ISIN provides a technology, information and communication service.
The Platform enables Surveys to be conducted.
The purpose of a Survey is to obtain preliminary, indicative and non-binding responses from its participants. Depending on its purpose, a Survey may include questions relating in particular to:
A response to a Survey is a non-binding expression of its participant. A response does not constitute:
Likewise, the creation or publication of a Survey does not oblige the person who commissioned it to enter into any subsequent transaction.
Survey results are provided for information purposes only and reflect the responses received during the relevant period. The person who commissioned the Survey receives the results, including the investor type and the Profile History of the responding Prospective Investors.
A Survey is a separate information feature of the Platform.
The creation, publication, display or completion of a Survey does not, of itself, constitute an offer of securities, the receipt or transmission of an order, or the execution of a transaction.
Where a Survey is followed by a specific offer, that offer is a separate stage with its own legal and transaction documentation.
Participation in a Survey does not, of itself, give rise to any right or obligation to participate in any subsequent transaction.
The Platform may display information about projects, companies, financing and other opportunities.
An Investment Opportunity intended for private investors or securities dealers relates to a security to which an ISIN has been assigned. An Investment Opportunity intended for institutional investors need not be structured through a security to which an ISIN has been assigned.
Investment Opportunities are published by Capital Recipients for a fee. The information is provided by the Capital Recipient. e-ISIN does not review it for suitability and does not recommend the investment.
The display of information through the Platform does not constitute a personal investment recommendation by e-ISIN or a recommendation to enter into any particular transaction.
Surveys and Investment Opportunities are published only after the Service Fee has been paid and e-ISIN has reviewed the content. Following its review, e-ISIN may publish the content or return it to the Capital Recipient for amendment.
e-ISIN may carry out a technical, administrative or content review of the material submitted. Such a review does not constitute regulatory approval or an investment recommendation, and e-ISIN does not thereby assume responsibility for content provided by a third party.
e-ISIN may reject or remove any content that breaches these Terms or applicable law.
Information and documents relating to a particular company, project, opportunity or offer may be provided by the Capital Recipient or by another person responsible for the relevant content.
The person providing the content is responsible for its accuracy, completeness and lawfulness and for being entitled to provide it.
Where a specific offer is published through the Platform, its legal and economic terms are set out in the documentation relating to that offer.
Depending on its nature, such documentation may include in particular:
These Terms do not constitute, and do not replace, the documentation of any specific offer.
Information on the features, parameters and risks of a particular financial instrument, project or transaction forms part of the documentation relating to the specific offer.
The Platform maintains a Profile History indicator for Prospective Investors. Profile History indicates only the history of the profile on the Platform. It is not an assessment of experience, quality, creditworthiness or regulatory status. The indicator applies equally to private and institutional investors, including securities dealers.
For a User holding more than one role, Profile History is determined solely by that User's activity in the investor role.
The direct contact details and documents of a Capital Recipient, and the ISIN where one has been assigned to the Investment Opportunity, are made available to Prospective Investors with Profile History A. A Prospective Investor with Profile History B or C initiates the first contact through the Platform. The Capital Recipient may then contact that Prospective Investor or make the relevant details available to them, and communication between them may continue.
In relation to activities falling within the scope of European Union law, the operation of the Platform is defined having regard to Directive 2014/65/EU of the European Parliament and of the Council on markets in financial instruments ("MiFID II") and the relevant legislation of the Member States.
Through the Platform, e-ISIN does not provide:
e-ISIN provides an information and technology environment and the technical means for direct communication between a Capital Recipient and a Prospective Investor.
e-ISIN does not receive any order to enter into a subsequent transaction, nor does it transmit any such order to another person for execution.
Where a specific offer of securities is published through the Platform, the person responsible for the offer is responsible for compliance with the legal requirements applicable to that offer.
This includes, in particular, any obligations under Regulation (EU) 2017/1129 of the European Parliament and of the Council on the prospectus and under the relevant national legislation.
A specific offer may be made on the basis of an approved prospectus or, where permitted by law, without an obligation to publish a prospectus.
The person responsible for a specific offer is responsible for determining and complying with the legal regime applicable to that offer. By merely operating the Platform, e-ISIN does not assume the obligations of the issuer or of any other person responsible for the offer.
In relation to activities falling within the scope of the law of the United Kingdom, e-ISIN operates as a technology, information and communication platform.
e-ISIN provides a means by which a Capital Recipient and a Prospective Investor may communicate directly with each other. In the course of such communication, e-ISIN does not:
This is consistent with the principle set out in article 27 of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, under which the mere provision of means by which the parties to a transaction or potential transaction are able to communicate with each other does not, of itself, constitute an activity of the kind specified by article 25(2) of that Order.
A specific offer or communication may also be subject to separate requirements of United Kingdom law relating to its content and the manner of its communication. The person responsible for a specific offer is responsible for compliance with the obligations applicable to that offer.
Where a specific offer is subject to the laws of the United States of America, the applicable United States laws apply to it, in particular the Securities Act of 1933, the Securities Exchange Act of 1934 and the rules and regulations of the Securities and Exchange Commission.
By merely operating the Platform, e-ISIN:
The person responsible for a specific offer is responsible for determining and complying with the legal regime applicable to that offer.
Where a specific offer is made in reliance on Regulation S under the Securities Act of 1933, the person responsible for the offer is responsible for satisfying the conditions of that regime.
This includes, in particular, the applicable requirements relating to offers and sales made outside the United States and the restrictions on selling efforts directed at the United States.
By merely providing the Platform as a technology service, e-ISIN does not confirm that any specific offer satisfies the conditions of Regulation S.
Where a specific offer is made in reliance on Regulation D or on any other exemption from registration under United States law, the person responsible for the offer is responsible for satisfying the conditions of the relevant regime.
By merely providing a technology environment, e-ISIN does not confirm that the conditions of Regulation D or of any other exemption from registration have been satisfied.
Where a specific offer is subject to the laws of Australia, the applicable Australian laws apply to it, in particular the Corporations Act 2001 (Cth) and the regulations and guidance of the Australian Securities and Investments Commission.
By merely operating the Platform, e-ISIN:
Information published on the Platform is not a prospectus or a product disclosure statement under the Corporations Act 2001 (Cth).
The person responsible for a specific offer is responsible for determining and complying with the legal regime applicable to that offer.
The Platform provides a technology means enabling direct communication between a Capital Recipient and a Prospective Investor. Once contact has been established, the Capital Recipient and the Prospective Investor communicate directly with each other.
Where a Prospective Investor initiates contact through the Platform, the Platform passes the Prospective Investor's message and email address to the Capital Recipient so that the Capital Recipient can reply. The Platform does not pass on any other contact details of the Prospective Investor.
e-ISIN:
Any decision to continue discussions, to exchange further documentation or to enter into a transaction is made by the Capital Recipient and the Prospective Investor independently and directly between themselves.
Certain features of the Platform are available only to registered Users.
Users must provide true, complete and up-to-date information.
Depending on the type of account, the Platform may require, in particular, verification of an email address, identification details, company details, confirmation of authority to act on behalf of a legal entity, or other information necessary for the provision of the relevant service. On registration, the User confirms the declarations displayed on the Platform.

Registration does not, of itself, give rise to any entitlement to enter into any transaction.
A User may close their account at any time, provided that there are no outstanding obligations between the User and e-ISIN, in particular an unpaid Service Fee or a paid service that has not yet been completed.

Alfred is a supporting technology feature of the Platform and does not provide investment advice or personal investment recommendations.
Automated outputs may contain inaccuracies and, depending on their nature, may require review.
The content of Surveys and Investment Opportunities may be displayed in translation into the User's language. Financial data are not translated and are displayed as in the original. Translations are provided for ease of understanding only; the version provided by the Capital Recipient and the documentation of the specific offer prevail.
A Survey may be presented without disclosing the identity of the company or the specific project.
A User providing images for such a Survey must not knowingly use material that clearly reveals the identity of the company or project, in particular through a name, logo, address, website, contact details or any other unique identifier.
The Platform may use automated checks to flag possible identifying elements. Any such flag is a supporting feature only.
Images generated using artificial intelligence are illustrative and do not constitute actual photographs of any specific project or asset. Such images will be labelled accordingly.
Documents made available in the non-public area of the Platform are intended solely for their authorised recipients.
Non-public documents must not be published, distributed or provided to third parties without the appropriate authorisation.
Further confidentiality rules may be set out in the relevant documentation or in a separate agreement.
The Platform must not be used, in particular:
Services provided through the Platform are paid services unless a particular feature is expressly designated as free of charge.
The price and scope of each service are set out in the current price list, the order or the terms applicable to the specific service.
The service fee (the "Service Fee") constitutes solely consideration for the service provided by e-ISIN through the Platform.
e-ISIN does not charge any commission, success fee or any other remuneration derived from the conclusion, value, volume or outcome of any transaction between a Capital Recipient and a Prospective Investor (no transaction-based compensation).
The amount of e-ISIN's remuneration does not depend on whether a transaction is concluded between a Capital Recipient and a Prospective Investor, or on the value or volume of any such transaction.
e-ISIN does not participate in the financial settlement of any such transaction.

The software, design, database structure, trade marks and own content of the Platform are protected by the applicable intellectual property rights.
The User is granted a limited, non-exclusive and non-transferable right to use the Platform in accordance with these Terms.
The User retains the rights in any content lawfully provided by the User to the Platform and grants e-ISIN the right to store, technically process, display, translate and use such content to the extent necessary to provide the relevant service.
The processing of personal data is governed by the separate e-ISIN Privacy Policy.
The Privacy Policy sets out, in particular, the personal data processed, the purposes and legal bases of processing, recipients and processors, international transfers, retention periods and the rights of data subjects.
To the fullest extent permitted by applicable law, e-ISIN shall not be liable for:

The current version of these Terms will be available on the Platform.
e-ISIN may notify registered Users of material changes through the Platform or by electronic communication.

To the extent permitted by applicable law, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
The official and legally binding version of these Terms is the English version.
Translations into other languages are provided for ease of understanding of the content of these Terms.
In the event of any discrepancy or conflict between the English version and any translation, the English version shall prevail.
